Terms of Service

These Terms of Service ('Terms') constitute a legally binding agreement between you (whether individually or on behalf of your organization) and Curious Angle Limited ('Dealwize', 'we', 'us', or 'our').

By accessing or using the Dealwize platform, web application, APIs, or integrations—including the Dealwize Model Context Protocol (MCP) server for ChatGPT or other AI platforms—you agree to be bound by these Terms. If you do not agree to all terms, you must discontinue use immediately.

Dealwize provides B2B sales intelligence software, interactive deal rooms, mutual action plans, and automated transcript analysis tools. Subject to your compliance with these Terms and active subscription plan, we grant you a non-exclusive, non-transferable, revocable licence to access and use Dealwize for your internal business purposes.

This licence extends to your use of Dealwize MCP connectors within conversational AI environments (e.g. ChatGPT) to evaluate transcripts and generate deal workspaces within your authorized account limits.

You agree to use Dealwize only in accordance with applicable laws and industry standards. You expressly agree that you will not:

• Reverse Engineering: Decompile, reverse-engineer, disassemble, or attempt to derive the source code or underlying algorithms of Dealwize.
• Unauthorized Reselling: Sub-license, rent, lease, resell, or distribute the platform or API endpoints to third parties without prior written authorization.
• System Abuse & Scraping: Deploy automated scrapers, bots, or malicious exploits, or attempt to compromise platform security, rate limits, or multi-tenant isolation.
• Unlawful Materials: Submit, upload, or transmit any data that is illegal, defamatory, infringing on intellectual property, or in violation of third-party privacy rights.

You retain full ownership of all raw sales transcripts, recordings, meeting notes, customer records, and opportunity data that you submit to Dealwize ('Customer Data').

You represent, warrant, and covenant that you possess all necessary rights, legal authority, and mandatory consents (including strict compliance with state, national, and international call-recording, two-party consent, and wiretapping laws) before uploading, pasting, streaming, or processing any sales audio, video, transcript, or customer identifiable data with Dealwize.

Dealwize leverages advanced artificial intelligence and heuristic models to analyze sales conversations, summarize qualification criteria, and generate tactical recommendations. Because sales cycles are inherently complex:

• Advisory Insights Only: All generated deal intelligence, action items, qualification assessments (e.g. MEDDPICC, BANT), and summaries are provided strictly for decision-support and advisory purposes. Dealwize does not provide legal, financial, or guaranteed commercial advice.
• Deal Health Scores are Heuristics, Not Mathematical Guarantees: A Deal Health score (such as an index of 63/100) represents an algorithmic qualitative assessment of call completeness and deal signals based solely on submitted materials. A Deal Health score is NOT a mathematically calibrated probability of close, nor a guarantee that a deal will close, that a buyer will sign, or that revenue will be realized.
• No Guarantee of Deal Outcomes: Closing a sale depends on buyer priorities, human sales execution, product fit, budget approvals, and external market variables. Dealwize makes no representation or warranty that utilizing the platform or following generated recommendations will result in closed deals or commercial success.

When creating an account or authenticating an MCP connector:

• Confidentiality: You are responsible for maintaining the confidentiality of your login credentials, API tokens, and MCP connection secrets.
• Authorized Activity: You are fully responsible for all activities and transcript submissions that occur under your authenticated account.
• Notification: You agree to notify us immediately at security@dealwize.co if you detect or suspect any unauthorized access or security compromise.

We strive for high availability and continuous improvement of Dealwize. However:

The platform is provided on an 'as is' and 'as available' basis. We may perform scheduled or emergency maintenance, deploy updates, or modify feature sets from time to time.

Because Dealwize integrates with cutting-edge third-party AI model providers (such as OpenAI, Anthropic, and Google), service response times and availability may occasionally be subject to upstream provider latency or operational status.

To the maximum extent permitted by applicable law:

• Exclusion of Consequential Damages: Dealwize, Curious Angle Limited, and its directors, employees, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, lost deals, loss of business opportunities, or loss of data.
• Liability Cap: Our total aggregate liability arising out of or relating to these Terms or your use of Dealwize shall not exceed the greater of: (a) the total amount paid by you to Dealwize in the twelve (12) months preceding the claim, or (b) £50.00 GBP.

These Terms remain in effect until terminated by either party:

You may terminate your account at any time via your account settings or by requesting account deletion at privacy@dealwize.co.

We reserve the right to suspend or terminate your access immediately, without prior notice, if you breach these Terms, engage in fraudulent or abusive activities, or if required by law or upstream platform policies.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
